Agreement Overview

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "Customer," or "you") and JPSales Technologies Pvt. Ltd. ("JPSales," "we," "us," or "our") governing your use of our ecommerce automation platform and related services.

By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

Service Description

JPSales provides ecommerce automation services including:

  • Multi-channel order management and synchronization
  • Inventory automation across Amazon, Flipkart, Shopify, and other platforms
  • Shipping label generation and fulfillment automation
  • Sales analytics and business intelligence tools
  • Integration with marketplace APIs including certified Amazon SP-API access
  • Automated repricing and competitive analysis tools

Account Registration and Use

1. Account Creation
  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old or the age of majority in your jurisdiction
  • One person or entity may not maintain multiple accounts without our consent
2. Account Responsibilities
  • You are solely responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You must comply with all applicable laws and marketplace policies
  • You must not use our services for any illegal or unauthorized purposes

Amazon SP-API Integration Terms

Our Amazon SP-API integration is subject to additional terms:

  • Developer Terms Compliance: We strictly adhere to Amazon SP-API Developer Terms and Conditions
  • Data Usage: We access your Amazon data only with your explicit OAuth consent and for authorized purposes
  • Rate Limits: Our usage complies with Amazon's API rate limits and usage policies
  • Data Protection: Amazon marketplace data is protected according to Amazon's data protection requirements
  • Regional Compliance: We comply with regional data protection laws for all supported Amazon marketplaces
  • Access Revocation: You may revoke API access at any time through your Amazon Seller Central account

Acceptable Use Policy

Permitted Uses
  • Legitimate ecommerce business operations and automation
  • Managing your own seller accounts and authorized client accounts
  • Using our services in compliance with marketplace policies
  • Reasonable testing and evaluation of our platform features
Prohibited Uses
  • Accessing marketplace accounts without proper authorization
  • Violating any marketplace terms of service or policies
  • Using our services for fraudulent or deceptive practices
  • Reverse engineering, copying, or creating derivative works of our platform
  • Attempting to interfere with or disrupt our services
  • Using our services to compete directly with JPSales

Payment and Billing

1. Subscription Fees
  • Subscription fees are billed in advance on a monthly or annual basis
  • Fees are non-refundable except as required by applicable law
  • We may change subscription fees with 30 days' advance notice
  • Failed payments may result in service suspension or termination
2. Taxes
  • You are responsible for all applicable taxes, duties, and governmental charges. We will add applicable taxes to your bill where required by law.

Data Ownership and Privacy

Your Data Rights
  • You retain ownership of all your business data and content
  • We access your marketplace data only with your explicit consent
  • You may export your data at any time through our platform
  • We do not sell or share your data with third parties for marketing purposes
Our Data Rights
  • We may use aggregated, anonymized data for platform improvement
  • We retain the right to analyze usage patterns for service optimization
  • We may use your data to provide customer support and technical assistance

Service Availability and Support

Uptime Commitment
  • We strive to maintain 99.9% uptime for our core services
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for downtime caused by third-party services or force majeure events
Support Services
  • Email support is available 24/7 with response within 24 hours
  • Live chat support during business hours (Mon-Fri 9 AM - 6 PM IST)
  • Premium support options available for enterprise customers

Limitation of Liability

IMPORTANT: Please read this section carefully as it limits our liability to you.

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid for services in the 12 months preceding the claim
  • We are not responsible for marketplace policy changes or account suspensions
  • You acknowledge that ecommerce involves inherent business risks

Termination

By You
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You remain responsible for charges incurred before cancellation
By Us
  • We may terminate your account for violation of these Terms
  • We may suspend services for non-payment after reasonable notice
  • We may terminate with 30 days' notice if we discontinue the service
Effect of Termination
  • Access to our services will cease immediately upon termination
  • You will have 30 days to export your data before deletion
  • All outstanding fees become immediately due and payable

Governing Law and Disputes

  • These Terms are governed by the laws of India
  • Disputes will be subject to the exclusive jurisdiction of courts in Bangalore, India
  • We encourage resolving disputes through good faith negotiation first
  • Any legal proceedings must be commenced within one year of the claim arising

Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or through our platform at least 30 days before they take effect. Your continued use of our services after the effective date constitutes acceptance of the modified Terms.
